1. Acceptance of Terms
By creating an account or using WinSync (“the App”), you agree to be bound by these Terms of Service (“Terms”) and our [Privacy Policy]. If you do not agree to these Terms, do not use the App.
 
You must review and accept these Terms before participating in any contest.

1.1 Legally Binding Agreement
By using WinSync, you enter into a legally binding agreement with WinSync LLC. You agree that all payouts are final once a contest is completed and confirmed via voting, and you will not initiate chargebacks or payment disputes without first contacting WinSync to resolve the issue.

1.2 Dispute Resolution & Arbitration
Any disputes arising out of or relating to these Terms or your use of the App shall be resolved through binding arbitration in the State of Wisconsin, except for matters eligible for small claims court.

1.3 Electronic Signature Consent
By checking the box or clicking “Agree,” you consent to entering into this agreement electronically and acknowledge that this has the same force and effect as a physical signature.

2. Eligibility

• Minimum Age: You must be at least 18 years old (or the legal age of majority in your jurisdiction).
   

• Geographic Restriction: WinSync is only available to users physically located in Wisconsin, New York, or Massachusetts. Use of VPNs, proxies, or location-masking tools is strictly prohibited.
   

Verification: You agree to complete identity, age, and location verification (e.g., government-issued ID, facial matching, selfie, address, IP, or geolocation verification) as a condition of access.

3. License to Use
WinSync grants you a limited, non-exclusive, non-transferable, revocable license to use the App for lawful, personal, skill-based contests only.
 
You may not modify, copy, distribute, reverse engineer, or lease any portion of the App.

4. Nature of the Service
4.1 Purpose
WinSync is a private skill-based contest platform designed for friendly competitions between users who already know each other.

4.2 No Gambling
WinSync does not permit any form of gambling, betting, or games of chance. All contests must be:

• Based on skill, not luck
   

• Clearly defined before starting
   

• Verified through a secure voting process
   

Any attempt to host or simulate chance-based games may result in permanent suspension.

5. Contest Rules & Compliance
5.1 Skill-Based Requirement
Each contest must:

• Involve a pre-approved skill-based activity (e.g., trivia, basketball, chess, video games)
   

• Have pre-agreed rules visible to all players
   

• Be free of any random, luck-based, or third-party outcome
   

5.2 Voting System

• WinSync uses a voting mechanism solely for confirming contest winners.
   

• A 2/3 majority is required in group contests (or both players in a 2-person contest).
   

• Votes are final and cannot be reversed once the payout is initiated.
   

• Manipulating votes or conspiring to fix outcomes is strictly prohibited.

6. Payments & Financial Transactions

• WinSync uses a licensed third-party payment processor.
   

• Users must link a debit card for charges and payouts.
   

• Entry fees and prizes are fixed prior to starting the contest.
   

• WinSync does not take a percentage of the prize (no rake).
   

• Payouts are initiated automatically after voting, subject to fraud checks.
   

• All payouts are considered final once confirmed by the required majority vote. WinSync does not refund contest entry fees or redistribute winnings unless required by law or due to proven fraud.
   

• You agree not to initiate chargebacks or reversals with your payment provider once a contest is confirmed and funds are disbursed.
   

• You are solely responsible for any taxes, fees, or financial reporting required by law.

7. User Responsibilities
You agree to:

• Provide accurate and truthful personal and payment information
   

• Keep your account secure and private
   

• Comply with location restrictions and all local laws
   

• Avoid VPNs, emulators, or tampering tools
   

• Never create more than one account without permission
   

• Not enter a contest on behalf of another user
   

• Not attempt to bypass verification, payout, or fraud systems

8. Anti-Fraud & Security Policy
To maintain platform integrity, WinSync enforces strict anti-fraud systems. You may not:

• Use stolen cards or stolen identities
   

• Collude with others to fix matches or outcomes
   

• Create “sham” contests with fake results
   

• Attempt to bypass payout restrictions or contest rules
   

WinSync may, at its sole discretion:

• Suspend or permanently ban accounts suspected of fraud or abuse
   

• Withhold contest entry funds and/or payouts during investigations
   

• Refer severe violations to law enforcement or payment processors
   

• Require ID verification at any time
   

• Track IPs and device fingerprints
   

• Block access based on suspicious behavior

9. Disputes & Finality of Payouts

• Payouts are final once confirmed and processed.
   

• WinSync does not reverse payouts and does not arbitrate contest outcomes.
   

• In-app voting determines the winner. Users agree to accept the majority result.
   

• Fraudulent chargebacks, false dispute claims, or reversal attempts may result in account termination and legal action.

10. Data & Privacy
WinSync collects and processes data in accordance with its [Privacy Policy], including:

• Identity and device data
   

• Location data
   

• Usage and activity logs
   

All users consent to data processing for fraud prevention, compliance, and safety.

11. No Warranty / Limitation of Liability

• WinSync is provided “as-is” without warranties of any kind.
   

• We do not guarantee uninterrupted service or error-free operation.
   

• WinSync is not responsible for losses or disputes arising from user behavior, technical failures, or payment delays.

12. Indemnification
You agree to indemnify and hold harmless WinSync, its founders, affiliates, and employees from any third-party claims, liabilities, or expenses resulting from:

• Your use of the App
   

• Your violation of these Terms
   

• Your conduct during or after contests

13. Governing Law
These Terms are governed by the laws of the State of Wisconsin, excluding conflicts of law. Any legal action must be brought exclusively in the courts of Wisconsin.
